Management Team

Alan T. Frankel Founding Partner

Alan is a founding partner of FLSV and co-manages FLSV’s Business Tax Services Group and the high net-worth individuals tax services group for business owners, entrepreneurs and fund managers. Alan has directed and managed FLSV since inception with his founding partners. Alan’s clients include several private equity and venture capital funds, hedge funds and their respective principals. Alan advises his clients on numerous aspects of transactional services including business formation and fund structuring, tax structuring, business mergers and acquisitions, succession planning, partial monetization and full monetization sales transactions, companies seeking investment capital, business financing, cash management, PFIC and CFC tax analyses, evaluating the impact of check-the-box (CTB) elections, cross-border transactions, qualified small business stock, tax planning for management companies and general partner entities, partnership, S corporation, and individual tax planning strategies, accounting matters and general business advisory services. Alan also serves numerous high net-worth individuals with their individual tax compliance and tax planning strategies, including estate and gift planning, business succession planning, trust planning, investment holding company structures, family limited partnerships, and family office structuring services. Alan has over thirty-five years of experience advising high net-worth individuals, hedge funds, private equity and venture capital funds, other investment partnership vehicles, management companies and general partner entities, asset management firms, M&A advisory firms, portfolio companies, real estate entrepreneurs, closely-held companies and their owners in a wide range of industries including the financial services industry, real estate, music publishing, media and entertainment, manufacturing, law firms and service businesses. Alan and his team also perform highly complex tax planning for partnerships and pass-through entities including Section 704(c) considerations, Section 754 elections and related tax basis adjustments, acquisitions and sales of companies including related tax due diligence, compensation structures, special allocations for partnerships, structuring blocker entities for ECI and UBTI considerations and various other complex tax considerations for partnerships and S corporations. Alan and his team also address various state nexus considerations including state tax analysis, state pass-through entity taxes and strategies for companies and individuals looking to establish presence and moving their domicile and residency to Florida and other lower taxed states. Alan has written articles and has chaired and lectured conferences on tax, accounting, and financial planning issues for investment partnerships, entrepreneurial companies, and their business owners.

Alan was formerly a Senior Tax Manager in the New York office of Ernst & Young, LLP where he served middle market companies.

Alan received his B.A. in Accounting from Queens College, earned his Master’s degree in Taxation from Fordham University and completed the certificate of financial planning program at New York University. Alan also recently earned a Certificate of Higher Education in History from the University of Oxford.

Alan is a member of the American Institute of Certified Public Accountants and the New York State Society of Certified Public Accountants (NYSSCPA) and is the former chair of the Closely Held and S Corporation Tax Committee.

Charles J. Vallone Founding Partner

Charles is a founding partner of FLSV and co-manages FLSV’s Business Services Group.  Charles has provided tax and advisory services to closely held businesses, investment partnerships, private equity funds, hedge funds, family offices, real estate investment funds, family-owned businesses and high-net worth individuals for over thirty years.  Charles has extensive experience in providing federal, state, local and international tax structuring, compliance, and planning services to hedge fund investment managers, private equity funds, venture capital funds, family offices and middle market businesses.

Charles advises his clients on a wide variety of issues including business formation and tax structuring, mergers and acquisitions, federal, state and local corporate and partnership tax matters and tax planning strategies, accounting and administration issues, compensation structuring, ECI and FDAP withholding, business development and advisory services and estate and inter-generational planning.  Charles has written articles and has lectured at professional conferences on tax and planning issues for investment partnerships, closely held businesses and high net worth individuals.

Prior to founding FLSV in 1995, Charles was an executive in the New York Office of Ernst & Young, where he provided tax and advisory services to middle market and investment partnership clientele.

Charles earned his Bachelor’s degree in accounting from Adelphi University and his Juris Doctor degree from St. John’s University School of Law.  His professional affiliations include associate membership of the New York State Society of Certified Public Accountants, member of the American Bar Association, New Jersey State Bar Association and the New York State Bar Association where he is also a member of the Investment Funds, Pass Through Entities and Individual Tax Committees.

Seth L. Starr Founding Partner

Seth is a founding partner of Frankel Loughran Starr & Vallone LLP. Seth oversees the firm’s Personal Tax Services and Wealth Management Estate Financial Planning Groups. Seth’s expertise for over 35 years has guided these groups in providing tax consulting, income and estate tax planning, federal, state and local tax compliance services, and representation before federal and state tax authorities. He is a trusted advisor to a diverse group of clients including high net worth individuals, investment banking and hedge fund managers, private equity fund managers and entrepreneurs, business owners and family groups. He also advises his clients on multi-generational tax and estate planning, wealth-preservation strategies, philanthropic and retirement planning, risk management, executive compensation, stock option planning and monetizing low cost security holdings. Seth directs the interaction between his clients and their various advisors, including attorneys, investment advisors, and insurance professionals.

Prior to co-founding the Firm, Seth honed his personal tax expertise through his senior positions as Vice President and Tax Director of the Individual Tax Group at Morgan Stanley, a position he held for six years, and as a Senior Tax Manager for eight years at E&Y (Ernst and Young) LLP.

Seth received a Bachelor of Science degree with honors in Accounting from SUNY Albany and a Master of Science degree in Taxation from Pace University. He is a Certified Financial Planner and holds both the Series 7 and Series 63 Security Licenses. He is a member of the New York State Society of Certified Public Accountants (NYSSCPA) and the American Institute of Certified Public Accountants (AICPA). He has been a guest on National Public Radio, a lecturer at professional tax and financial planning conferences and an Adjunct Professor at a financial planning institution.

Joseph F. Tudisco Partner

Joseph is a Partner at Frankel, Loughran, Starr & Vallone LLP and leads our Accounting Services Group and the Family Office Practice. He has over twenty years of experience serving the accounting and finance needs of a wide range of emerging businesses and high-net worth individuals. He has extensive experience working with Private Equity and lnvestment Partnerships.

Joseph has been instrumental in assisting firms during their start-up phase by providing valuable insight into areas such as developing an effective accounting system, managing day-to-day accounting and bookkeeping needs, employee and benefits considerations and Iocal filing obligations.

Prior to joining FLSV, Joseph served as a Vice President with Bear Stearns where he provided accounting services to several large institutional clients.

Joseph received a BBA from Pace University and earned his MBA in Accounting from Hofstra University. His professional affiliations include the American Institute of Certified Public Accountants (AICPA) and the New York State Society of Certified Public Accountants (NYSSCPA).
